1. Acceptance of these terms
These Terms of Use ("Terms") are a binding agreement between you — the individual or entity using the Service — and GeniusAuth, operated by [Legal Entity Name] ("GeniusAuth", "we", "us"). By creating an account, accessing, or using the Service, you agree to these Terms. If you are agreeing on behalf of an organization, you represent that you have authority to bind it. If you do not agree, do not use the Service.
2. Definitions
- "Service" — the GeniusAuth authentication, authorization, profiles, transactional communications, and payments platform, APIs, dashboard, SDKs, and website.
- "Customer" / "you" — the party that registers an account.
- "End User" — an individual who authenticates or is managed through your use of the Service.
- "Customer Data" — data you or your End Users submit to the Service.
- "Auth Unit" — the billing unit described in Pricing and Section 5.
3. The Service & eligibility
GeniusAuth provides identity and related infrastructure as a service. We may add, change, or remove features over time. You must be at least 18 years old (or the age of majority in your jurisdiction) and legally able to enter contracts to use the Service. The Service is intended for business and development use.
Features are labeled by availability (e.g. "Available", "In preview", "Coming soon"). Preview features are provided "as is", may change or be withdrawn, and may not be covered by any service commitment.
4. Accounts, credentials & API keys
You are responsible for the information you provide, for maintaining the security of your account, credentials, and API keys, and for all activity that occurs under your account. Keep secret keys secret — do not embed them in client-side code or public repositories. Notify us promptly at security@geniusauth.com if you suspect unauthorized access. We are not liable for losses arising from your failure to safeguard credentials.
5. Plans, fees & billing
Usage-based pricing. Paid plans are metered in Auth Units. One Auth Unit per month is the greater of 1,000 active users, 5,000 emails, or 50,000 API calls — billed on whichever single dimension runs highest, never the sum. Each plan includes a pool of units; usage beyond the pool is billed at the plan's per-unit rate. Full details are on our Pricing page.
Billing in arrears. Metered usage is billed monthly in arrears based on the month's high-water mark. Base subscription fees are billed in advance. Annual-commitment plans bill at the committed rate subject to the agreed monthly unit floor.
Launch pricing. Current rates are launch pricing and may change on notice; the unit structure is stable, the rates may be adjusted prospectively. We will give reasonable notice of price changes.
Taxes. Fees are exclusive of taxes. You are responsible for any sales, use, VAT, or similar taxes, excluding taxes on our income.
Payment & non-payment. You authorize us to charge your payment method for amounts due. Undisputed overdue amounts may accrue interest and may result in suspension or termination after notice. Except where required by law, fees are non-refundable.
6. Free tier
The free tier includes the full product up to its usage limit and requires no payment method. It is provided "as is" with community support. We may change the limits of, or discontinue, the free tier on reasonable notice. The free tier stops at its included unit ceiling rather than metering into paid usage.
7. Acceptable use
You agree not to, and not to permit anyone to:
- use the Service unlawfully or to violate the rights of others;
- send spam or unsolicited messages, or use our email features in violation of anti-spam laws (e.g. CAN-SPAM, GDPR/ePrivacy);
- upload malware, or attempt to gain unauthorized access to the Service or its systems;
- probe, scan, or test the vulnerability of the Service except under an authorized program;
- circumvent usage limits, metering, or access controls;
- resell or provide the Service to third parties except as your own application's identity layer;
- use the Service to build a competing identity product;
- interfere with or disrupt the integrity or performance of the Service.
We may investigate suspected violations and cooperate with law enforcement where appropriate.
8. Customer Data & your responsibilities
Ownership. As between the parties, you own your Customer Data. You grant us a limited license to host, process, and transmit it solely to provide and secure the Service.
Your responsibilities. You are responsible for the accuracy and legality of Customer Data and for having all necessary rights, notices, and consents to collect and process your End Users' data through the Service. Our processing of personal data on your behalf is governed by our Data Processing Addendum and our Privacy Policy.
Prohibited data. Do not submit data you are not permitted to process, and do not use the Service to store special categories of data (such as health or payment-card numbers) except as expressly supported and safeguarded.
9. Intellectual property
The Service, including its software, APIs, documentation, and branding, is owned by GeniusAuth and its licensors and is protected by intellectual-property laws. We grant you a non-exclusive, non-transferable, revocable right to use the Service during your subscription in accordance with these Terms. You may not copy, modify, reverse-engineer, or create derivative works of the Service except as permitted by law. Feedback you provide may be used by us without restriction.
10. Third-party services
The Service integrates third-party providers (for example hosting, email delivery, and payment processing). Your use of those integrations may be subject to the third party's terms. We are not responsible for third-party services, and their availability may affect the Service.
11. Confidentiality
Each party may access the other's confidential information. The receiving party will protect it with reasonable care, use it only to perform under these Terms, and not disclose it except to personnel and advisors bound by confidentiality. This does not apply to information that is public, already known, independently developed, or lawfully received from a third party, or where disclosure is legally required.
12. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or completely secure. Any service-level commitments, if offered, are stated in a separate SLA.
13. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Our total aggregate liability arising out of or relating to these Terms will not exceed the amounts you paid to us for the Service in the twelve (12) months preceding the event giving rise to the claim. These limitations apply regardless of the theory of liability and even if a remedy fails of its essential purpose. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
14. Indemnification
You will defend, indemnify, and hold harmless GeniusAuth from third-party claims arising out of your Customer Data, your End Users, your applications, or your breach of these Terms or applicable law, except to the extent caused by our own breach or misconduct.
15. Term & termination
These Terms apply while you use the Service. You may stop using and close your account at any time. Either party may terminate for material breach not cured within 30 days of notice. On termination, your right to use the Service ends; you may export your Customer Data for a limited period, after which we may delete it as described in our Privacy Policy. Sections that by their nature should survive (including fees owed, IP, confidentiality, disclaimers, liability, and indemnity) survive termination.
16. Suspension
We may suspend your access, in whole or in part, if we reasonably believe there is a security risk, a violation of the acceptable-use policy or law, a threat to the Service or other customers, or non-payment. Where practical we will give notice and an opportunity to cure; where a delay would cause harm we may act first and notify promptly.
17. Changes to these terms
We may update these Terms from time to time. For material changes we will provide reasonable notice (for example by email or in-product). Your continued use after the changes take effect constitutes acceptance. If you do not agree, stop using the Service before the effective date.
18. Governing law & disputes
These Terms are governed by the laws of [Governing Jurisdiction], without regard to conflict-of-laws rules. The parties submit to the exclusive jurisdiction of the courts located in [Venue], except that either party may seek injunctive relief to protect its intellectual property or confidential information in any competent court. Before filing a claim, the parties agree to attempt in good faith to resolve the dispute informally.
19. General
- Entire agreement. These Terms, the Privacy Policy, the DPA, and any order form or plan you accept are the entire agreement and supersede prior understandings.
- Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
- Force majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control.
- Severability. If any provision is unenforceable, the rest remain in effect.
- No waiver. Failure to enforce a provision is not a waiver of it.
- Notices. We may provide notices by email or through the Service; you may contact us as set out below.
- Independent contractors. The parties are independent; these Terms create no partnership or agency.
